1. Overview

These Subscription and Refund Terms (these “Subscription Terms”) govern paid subscriptions, free trials, billing, renewal, cancellation, and refunds for the software products offered by Justyx LLC, an Arizona limited liability company located at 4539 N 22nd St, Ste N, Phoenix, Arizona 85016 (“Justyx,” “we,” “us,” or “our”), including SwapHub and FamilyHub (also referred to as “Family Add”) (the “Apps”), and any paid features offered through justyxco.com (the “Site” and, together with the Apps, the “Services”).

These Subscription Terms are part of, and incorporated into, our Terms of Service. They do not govern HQ Console, which has its own Subscription Terms at hq.justyxco.com/subscription-terms. By starting a free trial or purchasing a subscription, you agree to these Subscription Terms. If you purchase through the Apple App Store or Google Play, the applicable app store’s terms also apply, and where they conflict with these Subscription Terms as to billing or refunds for that purchase, the app store’s terms control.

These Subscription Terms do not govern freelance software development or consulting engagements (which are covered by a separate written agreement) or sales of physical goods on third-party marketplaces such as eBay or Facebook Marketplace (which are governed by the applicable marketplace’s terms and the listing-specific return policy).

2. Subscription Plans and Billing Cycles

We offer subscription plans on a recurring basis, currently including monthly and annual billing cycles, at the prices displayed at the point of purchase in the applicable App or on the Site. Prices are stated in U.S. dollars unless otherwise indicated and are exclusive of taxes, which are addressed in Section 12. The features included in each plan are described on the applicable pricing page and may differ between SwapHub and FamilyHub; each App’s subscription is separate unless a bundle is expressly offered.

Billing cycle mechanics. Your billing cycle begins on the date your paid subscription starts (or, if you started with a free trial, on the first day after the trial ends, unless you cancel before then). Monthly plans renew on the same day of each month (or the last day of shorter months); annual plans renew on the anniversary of the start date. Fees are charged in advance for each billing period.

Payment methods. Purchases made on the Site or in our web apps are processed by Stripe; purchases made inside the iOS or Android apps are processed by Apple or Google, respectively. You authorize us (or the applicable app store) to charge your chosen payment method for the subscription fee and any applicable taxes at the start of each billing period. You are responsible for keeping your payment information current.

3. Free Trials and Promotional Offers

Every new subscription currently begins with a seven (7) day free trial that requires a payment method; on the eighth (8th) day your payment method is charged the disclosed subscription fee unless you cancel before the trial ends. We may also offer other free trials or promotional pricing. The duration and terms of any trial or promotion will be disclosed at sign-up. Unless otherwise stated, a free trial that requires a payment method will automatically convert to a paid subscription at the end of the trial period, and your payment method will be charged the disclosed subscription fee, unless you cancel before the trial ends. We will disclose, before you provide your payment method, the fact that a charge will occur, the amount, and the date of the first charge. Before a free trial that requires a payment method converts to a paid subscription, we will send a reminder to the email address associated with your account that identifies the upcoming charge and how to cancel.

Free trials are limited to one per person or account unless we expressly state otherwise. We may withdraw or modify a trial or promotional offer at any time before you accept it, and we may revoke a trial obtained in violation of these limits. If you cancel during a trial, you will retain access to paid features until the trial ends (or, at our discretion, access may end immediately), and you will not be charged.

4. Automatic Renewal — Important Disclosure

PLEASE READ: UNLESS YOU CANCEL BEFORE THE END OF THE CURRENT BILLING PERIOD, YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW FOR SUCCESSIVE PERIODS OF THE SAME LENGTH AS YOUR CURRENT PLAN, AND THE PAYMENT METHOD ON FILE WILL BE CHARGED THE THEN-CURRENT SUBSCRIPTION FEE (PLUS APPLICABLE TAXES) AT THE START OF EACH RENEWAL PERIOD. YOU MAY CANCEL AT ANY TIME AS DESCRIBED IN SECTION 5, AND CANCELLATION TAKES EFFECT AT THE END OF THE THEN-CURRENT PERIOD.

In accordance with automatic renewal laws in various states (including California’s Automatic Renewal Law), we will: (a) present the automatic renewal terms — including the recurring charge amount, the billing frequency, the length of any trial, and the cancellation method — clearly and conspicuously before you subscribe; (b) obtain your affirmative consent to those terms before charging you; (c) send you an acknowledgment after purchase that includes the renewal terms and cancellation instructions; (d) provide a cancellation method that is at least as easy to use, and offered in the same medium, as the method you used to subscribe — including, for online purchases, an immediate online “click-to-cancel” mechanism free of unnecessary steps that obstruct or delay cancellation; (e) send you a renewal reminder at least once each year — and, in any event, before renewal of any annual (or longer) plan and before any free trial longer than 31 days converts to a paid subscription — identifying the product, the amount and frequency of the recurring charge, and how to cancel, within the timeframes required by applicable law; and (f) retain records of your affirmative consent to the automatic renewal terms for at least three (3) years, or one (1) year after your subscription terminates, whichever is longer.

If you purchased through Apple or Google, the app store — not Justyx — manages your renewal consent, reminders, and charges under its own processes, and you can view or change your renewal settings at any time in your app store account settings.

5. How to Cancel

You may cancel your subscription at any time. Cancellation stops future renewal charges; it does not retroactively refund the current period except as provided in Section 6. Upon cancellation, you retain access to paid features until the end of the period you have already paid for, after which your account reverts to any free tier we offer (or is limited to data export). The method of cancellation depends on where you purchased:

Purchased on the Site or web app (Stripe): sign in and cancel in Account Settings → Subscription → Cancel Subscription, or email support@justyxco.com from your account email with the subject “Cancel Subscription.” Online cancellation is available in the same medium you used to subscribe, requires no more steps than sign-up, and is not conditioned on unnecessary steps that obstruct or delay cancellation. Cancellation requests received by email (or by voicemail, if we offer a support phone line) will be processed, or responded to, within one (1) business day. We will confirm your cancellation by email.

Purchased through the Apple App Store (in-app purchase on iOS): you must cancel through Apple. On your device, open Settings → [your name] → Subscriptions, select the App, and tap Cancel Subscription. Deleting the App or your Justyx account does NOT cancel an Apple subscription.

Purchased through Google Play (in-app purchase on Android): you must cancel through Google. Open the Google Play app → Profile → Payments and subscriptions → Subscriptions, select the App, and tap Cancel subscription. Deleting the App or your Justyx account does NOT cancel a Google Play subscription.

Cutoff timing. To avoid being charged for the next period, cancel at least 24 hours before the current period ends (Apple and Google require cancellation at least 24 hours before renewal). If you cancel after a renewal charge has processed, the cancellation applies to the following period.

6. Refund Policy

Purchases made directly from Justyx (Site or web app). Except as expressly provided in these Subscription Terms or required by applicable law, subscription fees are non-refundable, and we do not provide refunds or credits for partial billing periods, unused time, or unused features. However: (a) every new subscription begins with a seven (7) day free trial (Section 3) so that you can evaluate the App before you are charged; we do not offer a refund window after the trial converts, and the first charge is final except as provided in (b) and (c) below; (b) if we materially reduce the core functionality of your paid plan during a period you have already paid for, or permanently discontinue an App, you may request a pro-rata refund of the unused portion of that period; and (c) we may, in our sole discretion, issue refunds or credits in other circumstances (such as duplicate charges, verified billing errors, or extended service outages), and doing so in one case does not obligate us to do so in another. Approved refunds are issued to the original payment method within 5–10 business days of approval.

Purchases made through Apple or Google. We cannot issue refunds for purchases processed by the Apple App Store or Google Play. Refund requests for those purchases must be submitted to the applicable store: for Apple, at reportaproblem.apple.com or through your App Store purchase history; for Google, through the Google Play order history or Google Play support. Apple’s and Google’s own refund policies govern those requests. If either store grants a refund, we may revoke the corresponding subscription entitlement.

Statutory rights. Nothing in this Section limits any non-waivable refund, cancellation, or cooling-off rights you may have under the laws of your state or country of residence (for example, certain consumer withdrawal rights in the EEA or UK). Where such rights apply, they control over this Section to the extent of any conflict.

7. Proration; Upgrades and Downgrades

Upgrades. If you upgrade to a higher-priced plan or switch from monthly to annual billing mid-period, the change takes effect immediately. For direct purchases, we will charge a prorated amount reflecting the difference between the old and new plan prices for the remainder of the current period (or, at our option and as disclosed at the time, credit the unused value of the old plan against the new plan’s first charge), and your billing date may reset to the upgrade date. Downgrades. If you downgrade to a lower-priced plan or from annual to monthly billing, the change takes effect at the start of the next billing period; amounts already paid for the current period are not refunded or credited. For purchases made through Apple or Google, plan changes and any proration are handled by the applicable app store under its rules.

Downgrading may reduce feature limits (for example, the number of active listings, connected marketplaces, or family members). You are responsible for exporting or reducing your data to fit the lower plan; content exceeding plan limits may become read-only or inaccessible until you upgrade again.

8. Price Changes

We may change subscription prices from time to time. Price changes will not apply retroactively and will not affect a period you have already paid for. For direct purchases, we will notify you of any price increase at least 30 days before it takes effect, by email to your account address and/or in-app notice, and the new price will apply no earlier than your next renewal after the notice period. Where applicable law or our payment processor requires your affirmative consent to a price increase, the increase will not take effect for you until you consent; if you do not consent, your subscription will remain at the old price until the end of the current period and will then terminate unless otherwise required by law. If you do not agree with a price change, you may cancel before it takes effect as described in Section 5. For purchases through Apple or Google, price-increase notice and consent are handled by the applicable app store under its own rules.

9. Failed Payments and Past-Due Accounts

If a renewal charge fails (for example, because your card expired or was declined), we or our payment processor may retry the charge over a period of up to 7 days and will notify you at your account email. During this period access to paid features is suspended, and a free trial whose first charge fails does not convert to a paid subscription. If payment is not received by the end of the retry period, your subscription will be cancelled or downgraded to the free tier. We are not responsible for any loss of access, listing synchronization failures, or data limits that result from a lapsed subscription. Reinstatement after cancellation may require starting a new subscription at then-current prices.

10. Chargebacks

If you believe a charge from us is incorrect, please contact us at support@justyxco.com before disputing the charge with your bank or card issuer — most billing issues can be resolved quickly and without a formal dispute. If you initiate a chargeback or payment dispute on a charge that we reasonably determine was valid and authorized, we may: (a) suspend or terminate your account and access to paid features while the dispute is pending; (b) recover the disputed amount, plus any chargeback or dispute fees charged to us by our payment processor, as permitted by law; and (c) decline future orders from you until outstanding amounts are paid. If the dispute is resolved in your favor by the card network, we will honor that outcome. Nothing in this Section limits your legal right to dispute charges with your card issuer; this Section addresses only abusive or fraudulent disputes of valid charges.

11. Subscription Termination by Justyx

If we terminate your subscription without cause (for example, because we discontinue an App), we will refund the prorated unused portion of any period you have prepaid. If we terminate or suspend your account for a material breach of the Terms of Service (for example, fraud, abuse, or unlawful use), you will not be entitled to any refund for the remainder of the current period, to the maximum extent permitted by applicable law.

12. Taxes

Displayed prices exclude taxes unless stated otherwise. You are responsible for any applicable sales, use, value-added, GST, transaction privilege, or similar taxes, duties, or governmental charges arising from your purchase, other than taxes on our net income. Where we are required to collect taxes (including Arizona transaction privilege tax, if applicable), they will be calculated based on the billing information you provide and added to your charge. Purchases through Apple or Google include any taxes those platforms are required to collect.

13. Changes to These Subscription Terms

We may update these Subscription Terms from time to time. Material changes will be notified in the same manner, and with the same advance notice, as described in the “Changes” section of our Terms of Service, and will take effect no earlier than your next billing period after notice, except for changes required by law or by our payment processors, which may take effect sooner. Changes to the automatic renewal disclosures in Section 4 that materially affect your renewal terms will be presented for your consent where applicable law requires it. If you do not agree to updated Subscription Terms, you may cancel as described in Section 5 before they take effect.
